These Terms & Conditions (“Terms”) govern your access to and use of the website, APIs, and services offered by DeepBeat.ai (“DeepBeat”, “we”, “us”). By creating an account, signing a subscription, or using any part of the Service, you agree to these Terms. If you are using the Service on behalf of a company, you confirm that you have authority to bind that company.

1. The Service

DeepBeat provides AI-powered localization tools, including text-to-speech, live and on-demand dubbing, transcription, subtitle generation, image translation, and related models and APIs. We may add, modify, or discontinue features over time. Beta or preview features are provided as-is and may change without notice.

2. Accounts

You must provide accurate registration information and keep it current. You are responsible for activity under your account and for keeping credentials confidential. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to use the Service to:

• Impersonate any person or entity, or clone someone’s voice without their explicit, documented consent.
• Generate content that is unlawful, defamatory, harassing, hateful, or infringes the rights of others.
• Generate sexual content involving minors, or content that promotes violence or terrorism.
• Reverse engineer, decompile, or attempt to extract the source code or model weights of the Service.
• Resell, sublicense, or commercially redistribute the Service or its outputs except as expressly permitted by your plan.
• Use the Service to develop a competing product.
• Probe, scan, or test the vulnerability of the Service without our prior written consent, or interfere with its operation.

4. Your content and outputs

You retain ownership of the content you upload (“Input”) and, to the extent permitted by law, of the outputs the Service generates from your Input (“Output”). You grant DeepBeat a worldwide, non-exclusive, royalty-free license to host, process, and transmit your Input solely to provide and improve the Service in line with our Privacy Policy. You are responsible for ensuring you have all necessary rights and consents in your Input, including consent of any speakers whose voices appear.

5. Fees, billing, and taxes

• Subscription fees, usage charges, and the billing cycle are shown on the checkout page or order form.
• Payments are processed via Razorpay and may be charged in INR, USD, or other currencies displayed at checkout. Conversion fees levied by your card issuer or bank are your responsibility.
• All fees are exclusive of applicable taxes (GST, VAT, sales tax) which will be added where required.
• Subscriptions renew automatically at the end of each term unless cancelled before the renewal date. We may change pricing on at least 30 days’ notice; price changes apply at the next renewal.
• Failed payments may result in suspension after a 7-day grace period.

6. International payments and export of services

DeepBeat is operated from India. Services delivered to customers outside India constitute an export of services under the IGST Act, 2017 and the Foreign Exchange Management Act, 1999, and are subject to receipt of foreign currency through authorised banking channels. International cards are accepted via Razorpay’s international payments rails.

7. Intellectual property

The Service, including all software, models, designs, and trademarks, is and remains the property of DeepBeat or its licensors. Except for the rights expressly granted to you in these Terms, no other rights are conveyed.

8. Confidentiality

Each party will protect the other’s non-public information disclosed in connection with the Service, use it only to perform under these Terms, and not disclose it to third parties except to personnel and contractors bound by equivalent obligations.

9. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Otherwise, the Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may contain errors and should be reviewed before use in high-stakes contexts.

10. Limitation of liability

To the maximum extent permitted by law, in no event will DeepBeat’s aggregate liability arising out of or relating to these Terms exceed the fees paid by you to DeepBeat in the 12 months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

11. Indemnity

You will defend, indemnify, and hold DeepBeat harmless from claims arising out of your Input, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

12. Suspension and termination

You may cancel at any time from the dashboard. We may suspend or terminate your access for material breach of these Terms, non-payment, suspected fraud, or where required by law. On termination, your right to use the Service ends and we may delete your data after the retention period in our Privacy Policy.

13. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict of laws principles. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.

14. Changes

We may update these Terms from time to time. Material changes will be announced on this page and, where appropriate, by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
